iContact might have had the valuation, but not the actual financial strength. It had 2011 revenue of around $48 million, vs. $115 million for Vocus. Plus, Vocus had cash on its balance sheet and cash flow from operations last year totaled $31.1 million.

I'm still trying to understand this deal. Didn't iContact have the bigger predeal valuation? So shouldn't it have been the buyer and not visa versa?

It seems to be holding around $13.50 today. It's a risk play, but it could still bounce, even with the cash and debt issues.

Well it's just hard to see the upside in a company that doesn't have any cash.

I like to think the ones that get wiped out by Google probably didn't deserve to be around in the first place.

Ha. How many businesses do you think Google has killed, just because it's made it so easy to do things yourself?

Hard for me to see the value in paying a company to provide what I can Google myself in 10 seconds. At worst case, I have an unpaid intern generate a list of media contacts for me.

Ha -- that is funny!

Just reading about their business model gives me a headache. I don't like business models where it's hard to describe what your value add to the market is.

What is their value add? They are better at bugging you to take a phone call?

I agree about the acquisition and yes, Vocus has issues. But this seems like a huge overcorrection, I don't think Vocus will go belly up, so really this may be a decent buy, especially if it goes to $11 or $12.
